End-User Licence Agreement (EULA)

Summary
- You may use one copy of the Software at a time for each copy purchased
- Do not sell or resell the Software or any software or services that use it
- You are not permitted to use this Software as part of safety critical
systems or financial systems or various other types of system
- We make no warranty, and disclaim any errors, omissions, or damage

This End-User Licence Agreement ("EULA") is a legal agreement between you and
Utility Software Limited.

This EULA agreement governs your acquisition and use of our software
("Software") directly from Utility Software Limited or indirectly through a
reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before using the Software. It provides
a license to use the Software and contains warranty information and liability
disclaimers.

By using the Software, you are confirming your acceptance of the Software and
agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other
legal entity, you represent that you have the authority to bind such entity and
its affiliates to these terms and conditions. If you do not have such authority
or if you do not agree with the terms and conditions of this EULA agreement, do
not install or use the Software, and you must not accept this EULA agreement.

You must be at least 18 years old to enter into this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Utility
Software Limited herewith regardless of whether other software is referred to or
described herein. The terms also apply to any Utility Software Limited updates,
supplements, Internet-based services, and support services for the Software,
unless other terms accompany those items on delivery. If so, those terms apply.

The Software includes third-party components which have their own copyright
notices, permission notices, and disclaimers, and which are included at the end
of this licence.

License Grant

Utility Software Limited hereby grants you a non-transferable, non-exclusive
license to use one (1) copy of the Software on your devices in accordance with
the terms of this EULA agreement.

Software that is sold "Per Organisation" may only be used on one (1) named Ryver
organisation. More Software licences will need to be purchased for each additional

Ryver organisation.

Software that is sold "Per User" may only by used by a single named Ryver user.
More Software licences will need to be purchased for each additional Ryver user.

You are permitted to load the Software and use it only on a computer which is
under the control of your organisation. You are responsible for ensuring your
device meets the minimum requirements of the Software.

You are not permitted to:
- Edit, alter, modify, adapt, translate or otherwise change the whole or any
part of the Software nor permit the whole or any part of the Software to be
combined with or become incorporated in any other software, nor decompile,
disassemble or reverse engineer the Software or attempt to do any such things
- Reproduce, copy, distribute, resell, repackage, incorporate or otherwise use
the Software for any commercial purpose
- Allow any third party to use the Software on behalf of or for the benefit of
any third party
- Distribute the source code outside of your organisation (with or without
modifications)
- Distribute any product which includes the source code (compiled or not
compiled, with or without modifications) to any third party
- Use the Software in any way which breaches any applicable local, national or
international law
- Use the Software as part of any system used within:
o manufacturing processes,
o financial trading or financial trading platforms,
o credit card processing or electronic payment systems,
o systems that could cause injury to people,
o systems that could damage to property or environmental damage if they fail,
o energy, power or utilities or any other safety critical industries,
o nuclear installations or devices,
o petrochemical industry,
o bespoke information security systems, anti-virus, firewalls, encryption,
or password protection systems,
o hardware design or hardware manufacture,
o creation or design of computer games,
o dating or casino or gambling or gaming websites or applications,
o chat rooms, bulletin boards, social network sites, user nets or electronic
open forums,
o railway trackside systems,
o airport airside systems,
o aviation, aircraft, or aerial devices, or
o military operations.

If you have purchased the Source Code of a Software product from us we grant
you an additional non-transferable, non-exclusive license to modify and compile
the Source Code for your use within your own organisation; and to use one (1)
copy of the compiled Source Code within your own organisation plus one (1) copy
of the compiled Source Code for each copy of the corresponding Software product
you have purchased separately.

For example: You have purchased ten licences for a Software product and you have
also purchased the Source Code for that same Software. You may modify and compile
the Source Code and use eleven (one plus ten) copies of the compiled Source Code.

DISCLAIMER

IN NO EVENT, UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING, SHALL
Utility Software Limited, OR ANY PERSON BE LIABLE FOR ANY LOSS, EXPENSE OR
DAMAGE, OF ANY TYPE OR NATURE ARISING OUT OF THE USE OF, OR INABILITY TO USE
THIS SOFTWARE OR PROGRAM, INCLUDING, BUT NOT LIMITED TO, CLAIMS, SUITS OR
CAUSES OF ACTION INVOLVING ALLEGED INFRINGEMENT OF COPYRIGHTS, PATENTS,
TRADEMARKS, TRADE SECRETS, OR UNFAIR COMPETITION.

THIS SOFTWARE IS PROVIDED BY Utility Software Limited "AS IS" AND ANY EXPRESS
OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT
SHALL Utility Software Limited BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL,
SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO,
PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR
BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER
IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE)
ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGE.

Utility Software Limited does not warrant the Software will meet your
requirements or will be uninterrupted, timely, secure, effective, accurate,
reliable, or error-free.

Software and documentation made available by Utility Software Limited could
include technical or other mistakes, inaccuracies, omissions, out of date
information, or typographical errors. Utility Software Limited assumes no
responsibility for errors or omissions in the Software or documentation
available from its web site.

The Software is dependent on third party services which may change over time
rendering the Software ineffective.

Utility Software Limited makes no commitment to update any software or
documentation to fix errors or to remain operational. Utility Software Limited
reserves the right to update the Software and documentation on our website as
we choose with the aim of providing good service to our customers in any
manner we choose.

The use of the Software is done at your own discretion and risk and with
agreement that you will be solely responsible for any damage to your computer
system or loss of data that results from such activities. No advice or
information, whether oral or written, obtained by you from Utility Software
Limited or from the Utility Software Limited web site shall create any warranty
for the Software.

Intellectual Property and Ownership

Utility Software Limited shall at all times retain ownership of the Software as
originally downloaded by you and all subsequent downloads of the Software by
you. The Software (and the copyright, and other intellectual property rights of
whatever nature in the Software, including any modifications made thereto) are
and shall remain the property of Utility Software Limited.

Utility Software Limited reserves the right to grant licenses to use the
Software to third parties.

Termination

This EULA agreement is effective from the date you first use the Software and
shall continue until terminated. You may terminate it at any time upon written
notice to Utility Software Limited.

It will also terminate immediately if you fail to comply with any term of this
EULA agreement. Upon such termination, the licenses granted by this EULA
agreement will immediately terminate and you agree to stop all access and use
of the Software. The provisions that by their nature continue and survive will
survive any termination of this EULA agreement.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this
EULA agreement, shall be governed by and construed in accordance with the laws
of England and Wales, and subject to the exclusive jurisdiction of English and
Welsh courts. All communications will be in English.

for information on how we collect, share, and process your information, and
details on how to review and request changes to your personal data.

Utility Software Limited asserts copyright on the Software.
